Last updated: 13.08.2026

These Terms of Use ("Terms") govern your access to and use of https://www.neologicsoftware.com (the "Site"), operated by Dima, Inc., doing business as Neologic Custom Software ('Neologic,' 'we,' 'us,' or 'our'). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms govern use of the Site only. They do not govern any software development engagement or client project with Neologic, which is instead governed by a separate written agreement signed between Neologic and the client.

1. Use of the Site

The Site is provided for informational purposes — to describe Neologic's services and allow visitors to contact us about potential projects. You agree to use the Site only for lawful purposes and agree not to:

  • Attempt to gain unauthorized access to the Site, its systems, or any connected network
  • Interfere with or disrupt the Site's operation (including via malware, bots, or excessive automated requests)
  • Scrape, copy, or reproduce the Site's content for commercial redistribution
  • Misrepresent your identity or affiliation when submitting information through the contact form
  • Use the Site to transmit unlawful, harassing, or fraudulent content

We may suspend or restrict access to the Site, at our discretion, for anyone who violates these Terms.

2. Intellectual Property

All content on the Site — including text, graphics, logos, case studies, and design — is owned by Neologic or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and share Site content for personal, non-commercial reference, but may not reproduce, modify, distribute, or create derivative works from it without our prior written permission.

Any information you submit to us through the contact form (e.g., your name, contact details, and project description) remains yours; by submitting it, you grant us permission to use it solely to respond to your inquiry and evaluate a potential project, consistent with our Privacy Policy.

3. No Professional Advice

Content on the Site — including service descriptions, blog-style content, and case studies, if any — is provided for general informational purposes only. It does not constitute technical, legal, financial, or professional advice, and should not be relied upon as a substitute for a scoped engagement or professional consultation. Any specific project recommendations or technical guidance are provided only through a signed services agreement.

4. Disclaimers

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete, accurate, or current.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Neologic and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or business opportunity, arising out of or related to your use of, or inability to use, the Site — even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for matters that cannot be limited or excluded under applicable Illinois or federal law.

6. Third-Party Links

The Site may contain links to third-party websites. We do not control and are not responsible for the content, accuracy, or practices of any linked third-party site. Inclusion of a link does not imply endorsement.

7. Indemnification

You agree to indemnify and hold Neologic harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.

8. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.

9. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

10. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
